These terms of use are entered into by and between you and Oppsheet, Inc. (“Company,” “we,” or “us”). The following terms and conditions (“Terms of Use”) govern your access to and use of: (a) https://www.oppsheet.com, including any content, functionality, and services offered on or through https://www.oppsheet.com (the “Website”), whether as a guest or a registered user; and (b) the Oppsheet deal platform service made available through third-party artificial intelligence assistant platforms (“AI Platforms”), including Anthropic PBC’s Claude, by means of a connector built on the Model Context Protocol (the “Connector”). The Website and the Connector, together with all content, functionality, and services offered on or through either of them, are referred to collectively as the “Services.”
Please read the Terms of Use carefully before you start to use the Services. By using the Services, by connecting or authorizing the Connector through an AI Platform, or by clicking or otherwise indicating acceptance of or agreement to the Terms of Use when this option is made available to you (including during Connector onboarding), you accept and agree to be bound and abide by these Terms of Use. If you do not want to agree to these Terms of Use, you must not access or use the Services.
The Services are offered and available to users who are 18 years of age or older and reside in the United States or any of its territories or possessions. By using the Services, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Services.
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Services thereafter.
Your continued use of the Services following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page each time you access the Services so you are aware of any changes, as they are binding on you.
The Connector makes the Company’s deal platform service available through conversational interactions with an AI assistant operated by a third-party AI Platform provider (currently, Anthropic PBC’s Claude). You acknowledge and agree that:

An active paid membership is required to use the deal platform features of the Services, including browsing Listings matched to your stated preferences, posting a Listing, and signaling interest in a Listing. New memberships include a free trial period as described below.
We reserve the right to withdraw or amend the Services, and any service or material we provide on or through the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Services or the entire Services.

To access the Services or some of the resources they offer, you may be asked to provide certain registration details or other information, including through the Company’s third-party authentication provider. It is a condition of your use of the Services that all the information you provide on or through the Services is correct, current, and complete, including the name, firm, title, and country stated in your user profile, which may be displayed to other users as described in these Terms of Use. You agree that all information you provide to register with the Services or otherwise, including, but not limited to, through the use of any interactive features of the Services, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Services or portions of them using your username, password, or other security information, including by authorizing the Connector on another person’s behalf. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, and to revoke or disable the Connector’s access for any user, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.
Additionally, we have the right to disclose your personal information to any governmental authority or regulatory body in the event: (i) you have, in our reasonable opinion, violated any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange, or the NASDAQ, and any regulations having the force of law (“Applicable Law”); or (ii) we reasonably believe we are obligated to do so under Applicable Law.
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Notwithstanding the foregoing, the Company shall not own or otherwise claim any right in or to your proprietary information you may upload to the Services as part of your User Contributions.
You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services, except as follows:

No right, title, or interest in or to the Services or any content on the Services is transferred to you, and all rights not expressly granted are reserved by the Company. The Company name, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners. Anthropic, Claude, and related marks are trademarks of Anthropic PBC; their appearance in connection with the Connector does not imply endorsement of the Company or the Services by Anthropic PBC.

The Services allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Services, including Listings, user profile information, stated acquisition preferences, and interest signals, whether submitted through the Website or through the Connector (the interactive features of the Services, collectively, “Interactive Services”).

Any User Contribution you post to the Services shall not contain any material non-public information as defined under the federal securities laws. The Company does not claim ownership of any User Contributions you post to the Services, however, by providing any User Contribution on the Services, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Services. Additionally, you acknowledge and agree that the Company does not endorse or approve any User Contributions, and we make it available to you only as a service and convenience. The User Contributions may quickly become unreliable for various reasons, including, for example, changes in market conditions or economic circumstances. Neither the Company nor any third party providers are obligated to update any information or opinions contained in any of the User Contributions.
You also acknowledge and agree that the information in the User Contributions have not been independently verified. No representation or warranty, express or implied, is made as to the fairness, accuracy or completeness of the User Contributions and the information contained herein and no reliance should be placed on it. You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Services, including, but not limited to, your User Contributions and Listings, any connection or transaction with another user, any use of the Services’ content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Services.
All matters relating to the Services and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
At Company’s sole discretion, it may require you to submit any disputes arising from these Terms of Use or use of the Services, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Oppsheet, Inc. regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
